These General Terms and Conditions of Sale and Use (hereinafter, the "GTC/U") govern all contractual relations between Radio Kitchen, the sole legally responsible and contracting entity, and any client, whether a natural person or legal entity, accessing the services offered under the iAgency trade name.
The services are operated and made available through a technological platform called Camelo, which constitutes the interface for project management, communication, production, and deliverable validation.
It is expressly stated that iAgency is a trade name without separate legal personality, and that Camelo is a technical tool. Consequently, any contractual obligation, liability, or commitment falls exclusively under Radio Kitchen. The client acknowledges and accepts this contractual architecture and waives any confusion between the different names used.
For the purposes of these GTC/U, the following terms have the meanings assigned to them. "Platform" means the Camelo interface. "Client" means any person who has subscribed to the services. "Tokens" means prepaid consumption units enabling access to the services. "Deliverables" means all produced content, regardless of format. "Brief" means the initial request submitted by the client. "Assets" means the elements provided by the client for the performance of the services.
These definitions must be interpreted consistently with the hybrid nature of the services, combining technological tools, notably artificial intelligence, and substantial human intervention in production.
Access to the services is subject to creating an account on the platform. The client undertakes to provide accurate, complete, and up-to-date information, and to maintain its accuracy throughout the contractual relationship. The client is solely responsible for the security of its credentials and for any use of its account, whether authorized or not.
In the case of multi-user use, particularly within an organization, the client assumes full and complete responsibility for actions carried out by its collaborators or any person with access to the account. Radio Kitchen reserves the right to suspend or restrict access in the event of fraudulent, abusive, or non-compliant use, without such suspension giving rise to compensation.
iAgency provides content creation and production services based on a hybrid model combining the use of advanced technologies, notably artificial intelligence, and the involvement of creative professionals. The services may include, without limitation, audiovisual production, audio content creation, image generation, avatars, and digital media assets.
The Camelo platform allows the client to manage projects, interact with teams, and monitor productions. However, it does not constitute an autonomous production tool. The client acknowledges that the services constitute an overall provision integrating human and technological resources.
The production process begins with the submission of a brief by the client, together with the required assets. Based on these elements, an estimate in tokens is proposed. Once this estimate is approved, production is initiated.
The client acknowledges that the quality and relevance of deliverables depend directly on the quality of the information provided. Any inaccuracy, omission, or error in the submitted elements may affect the final result, without Radio Kitchen being held liable on that basis.
Deliverables are made available to the client through the platform for validation. The client has a maximum period of fourteen (14) calendar days to submit modification requests or proceed with validation. In the absence of a response within this period, deliverables are deemed validated.
Modification requests are limited according to the subscribed plan. Any request exceeding these limits may result in additional billing in tokens. Once validated, explicitly or tacitly, deliverables are considered compliant, and no subsequent claim regarding their quality or suitability may be raised.
Services are provided on a prepayment model. The client issues a purchase order specifying the amount and the requested services. Upon receipt of this purchase order, an account is created on the platform. However, effective activation and the ability to launch productions are strictly subject to payment clearance.
Payments are made exclusively by bank transfer or check, unless specifically agreed otherwise. Tokens are credited only after effective payment clearance. No work will be started without available credit. In the event of a payment incident, Radio Kitchen reserves the right to immediately suspend services.
The services offered by Radio Kitchen are based on a hybrid economic model combining a prepaid credit system, called tokens, with subscription plans or one-off purchases. This model makes it possible to adapt service consumption to the nature, volume, and complexity of the services requested by the client.
Tokens constitute an internal unit of measurement used to value services. Under no circumstances may they be treated as currency, nor be subject to refund, transfer, or conversion into financial value. Any service consumption automatically results in a deduction of tokens from the client account, regardless of the effective use of deliverables.
Services are accessible through three distinct models, namely annual subscription, monthly subscription, and one-off offer. Each model involves specific conditions regarding pricing, credit validity, consumption management, and contractual commitment.
The choice of model is the sole responsibility of the client, who acknowledges having been informed of the differences between these offers and their financial and operational implications.
Under an annual subscription, the token is charged at a single rate of 50 dirhams excluding taxes, this rate applying equally to credits included in the subscription and to additional tokens consumed in case of overrun.
Under a monthly subscription, the token is valued at 50 dirhams excluding taxes for credits included in the plan, while any excess consumption gives rise to billing of additional tokens at the rate of 75 dirhams excluding taxes per unit.
Under a one-off offer, the token is billed at the rate of 75 dirhams excluding taxes, applied uniformly to all consumed credits, whether initially acquired or used as a supplement.
These rates may be revised at any time by Radio Kitchen, subject to prior information to the client, with no retroactive effect on ongoing commitments.
The annual subscription is concluded for a fixed and irrevocable term of twelve months, with full payment required at order placement. In consideration of this commitment, the client benefits from an overall discount of thirty percent on the total subscription amount.
Credits included in this offer are renewed monthly, and credits not consumed during a given period are automatically carried over to subsequent periods, provided that the subscription remains active and in good standing for payment.
This carry-over mechanism constitutes an advantage specific to the annual offer and may not be extended to other plans. In the event of early termination, no refund may be claimed, and Radio Kitchen reserves the right to reclassify the applicable pricing conditions.
Monthly subscriptions are offered in several service levels, including the Creator, Pro, and Business plans, billed respectively at 30,000, 50,000, and 80,000 dirhams excluding taxes per month.
Credits are renewed for each monthly period. Unused credits are not guaranteed to carry over and may be lost at the end of the relevant period.
Any excess consumption automatically results in additional billing in additional tokens at the applicable rate. The client acknowledges that the absence of a duration commitment implies less favorable pricing conditions than those of the annual offer.
The one-off offer allows the client to access services without a subscription commitment, through direct acquisition of tokens. This plan is intended for occasional use and grants no pricing, operational, or priority advantage.
Tokens acquired under this plan are usable until exhaustion, within a one-year limit. They do not benefit from any automatic carry-over mechanism or preferential pricing conditions.
Any service, whether validated by the client or not, results in the consumption of the corresponding tokens. In case of insufficient credit, no production may be initiated.
In case of overrun, additional consumption is automatically billed according to the conditions of the subscribed model. Subscribed clients may benefit from processing priorities depending on their plan level, without this constituting an obligation of result for Radio Kitchen.
Each project includes a number of revisions defined according to the subscribed service level. A revision means a reasonable modification of the initial deliverable, not involving a complete redesign of the project.
Any request for substantial modification, change of artistic direction, or exceeding the number of included revisions may result in additional token consumption. Radio Kitchen reserves the right to assess the nature of requests and their impact on production.
Production deadlines are provided for indicative purposes and depend on the nature of the services. By way of reference, audio productions may be delivered within one to six hours, videos under thirty seconds within twenty-four hours, videos between thirty seconds and one minute within forty-eight hours, and videos exceeding one minute within seventy-two hours.
These deadlines are subject to the completeness of the brief, resource availability, and the absence of major technical constraints. Any delay attributable to the client suspends ongoing deadlines.
The client may request a modification of its subscription at any time. Changes take effect immediately and give rise to a prorata temporis billing adjustment.
Radio Kitchen reserves the right to refuse any modification likely to constitute abuse or an attempt to circumvent pricing conditions.
The client undertakes to use services in compliance with applicable laws and professional best practices. In particular, the client shall refrain from any use likely to infringe third-party rights, public order, or the image of Radio Kitchen.
Radio Kitchen reserves the right to refuse, suspend, or interrupt any service whose purpose is deemed non-compliant, without this giving rise to compensation.
Radio Kitchen undertakes to process client data with a high level of confidentiality and to limit access to persons strictly necessary for service execution.
Client-provided data, content, and information are not subject to resale or external commercial exploitation. They are not used for training artificial intelligence models, unless expressly agreed by the client.
Data processing is carried out in compliance with applicable regulations, notably Moroccan Law 09-08 and the General Data Protection Regulation where applicable.
Subject to full payment of services, exploitation rights in deliverables are transferred to the client for the intended uses. Radio Kitchen retains all rights to its methods, tools, technologies, and know-how.
Radio Kitchen reserves the right to use deliverables publicly distributed by the client for promotion, communication, or commercial demonstration purposes.
The client may object at any time by written notice. Failing that, such use is deemed accepted.
The client warrants that it holds all necessary rights over the provided elements. The client undertakes to indemnify Radio Kitchen against any claim related to infringement of third-party rights.
Services rely on evolving technologies. Technical limitations observed at a given time are likely to evolve rapidly depending on technological advances.
The client acknowledges that the performance of the tools used is not fixed and that no absolute guarantee of result can be provided.
Services may integrate technologies such as Kling, Veo, Open AI, Runway, Seedance, Pika, HeyGen, ElevenLabs, Midjourney, Stable Diffusion, D-ID, OpenAI, Google AI, AWS, and Supabase.
Radio Kitchen cannot be held liable for failures or interruptions related to these services.
Radio Kitchen's liability is strictly limited to direct damages and to the amount paid by the client. Any liability for indirect losses, loss of profit, or commercial prejudice is excluded.
Radio Kitchen may suspend or terminate services in case of non-compliance with the terms. Unused tokens are non-refundable.
Neither party may be held liable in the event of an unforeseeable event preventing the performance of obligations.
Radio Kitchen reserves the right to modify these terms at any time, with prior information to the client.
These terms are governed by Moroccan law. Any dispute falls under the exclusive jurisdiction of the courts of Casablanca.
These terms constitute the entire agreement. If one clause is invalid, the others remain applicable.
